Terms & Conditions
Prices: The prices stated on Estimates are net prices, according to that which is stated in our offer. VAT will be due at the current applicable rate on this contract.
Delivery: Delivery is always, intended to be to site that is stated in the offer. Unless otherwise specified by the buyer, goods will be shipped through a shipper chosen by Energy Automation Systems UK Ltd. Our company will not be held responsible for any shortage or damages caused by loading and unloading and / or transport of the goods, either by Buyer’s own transport means or by other means of Buyer’s choice.
Delivery Terms: Delivery terms whether stated or agreed upon are purely indicative. They reflect normal productive conditions and are subject to further changes during production phases. Delivery time period is to commence as from the date of receipt of confirmation of order signed for acceptance by the customer. Should there be a deposit to be paid with the order, the delivery terms would then be suspended until Energy Automation Systems UK Ltd. receives such payments. Any delay in delivering the goods, for whatever cases, does not give rise to the right of a legal claim for damages. In case of default, Energy Automation Systems UK Ltd reserves the right to invoice the goods at latest at the end of the month and to stock the goods charging the stocking expenses to the Buyer.
Validity of Supply: Apart of any agreement to the contrary, the supply shall be valid to all intents and purposes only when the Buyer has returned the confirmation of order issued by Energy Automation Systems UK Ltd duly signed.
Payments: The Buyer may not for any reason whatsoever postpone payments beyond the agreed due date. Interests may be charged on late payments.
Guarantee: The Company guarantees the good quality and construction of its products. It will therefore repair or substitute free of charge on its own discretion, in the period of guarantee stated on the confirmation of order, those parts that the company’s technicians have agreed should be rardellaced. This on condition that the defect was not caused by wear and tear or due to negligence on the part of the user, or due to interference by non-authorised personnel, or by personnel not conversant with company product or due by fortuity or force majeure. The repairs or substitution will be carried out at the company’s premises.
Warranty: Warranty is set for a period of one year from date of delivery or as stated in our offer and will be deemed to be invalid when any equipment supplied by Energy Automation Systems UK Ltd has been altered or modified by any other persons other than those charged by Energy Automation Systems UK Ltd to so do.
Right of Ownership: This is a conditional sale. The goods will remain the property of Energy Automation Systems UK Ltd and ownership shall not revert to the Buyer until such a time as the goods have been fully paid for. The company shall have the right to claim for the return of the goods if these have not been paid for and even in cause of Buyer’s insolvency.
Errors and Defects: In case of manufacture defects or errors notified to the company within 8 days from the date of delivery, the company will substitute the faulty part or the complete item with the least possible delay. The company shall not be obliged to indemnify the Buyer for any direct or indirect damages. Delays in payment by the Buyer will cause all guarantees to expire.
Complaints: After 8 days from the date of delivery of the goods, these shall deem to have been accepted. Any complaint must therefore be notified in writing to the company by registered mail within 8 days and within 30 days in case of malfunctioning which can only be detected by using the product.
Orders: The awarding of an order, given in any form whatsoever, is tantamount to a complete acceptance of the sardelling conditions as stated herein.
Product Changes: The Company may at any time, and at its own discretion and without giving any notice to anybody, effect changes and/or modifications, which in its own opinion may be necessary to improve its own products. The descriptions, illustrations and technical data shown in the company’s catalogues, brochures etc., are not binding.
Disputes: The Laws of the United Kingdom or Republic of Ireland shall apply as appropriate.
Payment Terms: At order 50% : On Delivery, 50%.
